Job Description

This role is a key and highly visible position in the organization with substantial work, collaboration and presentation interaction with the Board of Directors and executive leadership team, including business segment and corporate functional leaders. The Vice President of Corporate Development and Treasury is responsible for the leadership and outcomes of the mergers and acquisition (“M&A”) process as well as leadership of the Company’s Treasury strategy. The role reports to the Sr VP and CFO and works closely with senior executives, as well as Business leaders and their teams to lead and execute all aspects of the M&A process.  The VP Corporate Development and Treasury will be actively involved in major company-wide strategic initiatives to deliver Grace’s inorganic growth strategy consistent with its Strategic Framework.

  • Work with senior leadership to develop and implement M&A strategy aligned with the Company’s strategy and growth plan.
  • Leadership over Treasury function, including cash management and forecasting foreign currency risk management, insurance, debt and equity financing
  • Develops a comprehensive understanding of Grace’s businesses and strong internal network across the global organization to lead and execute all aspects of the M&A process, including target identification, assessment and development; financial and strategic analysis; complex modeling and valuation; due diligence; and deal structuring, negotiation, closing and integration.
  • Lead global deal teams comprised of internal resources (both direct reports as well as business and functional team members) and external advisors (investment banks, law firms, accounting firms) to achieve objectives.
  • Perform rigorous analysis of potential transactions through in-depth assessments of industry, customer, competitor, company and financial data.
  • Own the M&A pipeline process working in partnership with the business segment leadership teams to execute acquisition strategies.
  • Lead internal reviews of and provide recommendations on acquisition opportunities, deal terms and negotiating positions.
  • Develop and periodically present materials to Board of Directors on M&A activities.
  • Building network of external relationships with targets companies, investments bankers, commercial bankers, rating agencies, industry peers, private equity, and legal, consulting and accounting firms.

Required Skills

  • Demonstrated success leading all aspects of the M&A process including target identification; assessment and development; complex modeling and valuation; deal structuring and negotiation; closing and integration.
  • Effective leading, influencing, motivating, and achieving goals through formal and informal channels. Ability to lead global teams (internal cross functional teams above and below reporting level as well as external advisors) to attain results through others.
  • Advanced competency with necessary software tools, particularly Excel, PowerPoint, as well as external data sources such as Capital IQ, Thomson, and Bloomberg.

Required Experience

  • Bachelors’ degree in Finance, Accounting, Economics, or related field.
  • 10+ years experience in M&A with increasing levels of responsibility within either in-house corporate development or investment banking teams – ideally with chemical / industrial market exposure (exception for superb background).
  • Capital markets and Treasury experience, including debt and/or equity financing transactions.
  • Experience and ability to gather and interpret complex information from diverse sources in a wide variety of forms. Ability to identify issues, collect data, establish facts, and present conclusions in situations where few decision-making guidelines exist. Integrity and courage to address difficult situations and provide objective and realistic insights regardless of the message.
  • Exceptional communications skills with the ability to develop compelling arguments and confidently and concisely present analysis and recommendations to senior leadership.
  • Experience with managing and training analysts with varying experience level a plus.

Preferred Qualifications

  • MBA or similar advanced degree
