Job Description

Grace is seeking a Deputy General Counsel to join and help lead our Legal team as we grow and develop our organization to build a scalable platform for rapid organic and inorganic growth.  This role reports to our Senior Vice President, General Counsel & Secretary and is located in Columbia, MD.

The Deputy General Counsel will partner with the General Counsel to lead the Grace Legal team.  The role will be responsible for a broad range of Legal areas including M&A, Legal Operations, Labor & Employment, Corporate Governance, Real Estate, and Contracts.  The Deputy General Counsel will provide advice, guidance and leadership to set strategy, build processes, develop and engage team members, and ensure department responsibilities are performed with the highest level of expertise, professionalism, efficiency, and collaboration to achieve company goals. 


  • Partner with General Counsel to grow organizational capability and engagement
  • Lead organization to provide highest quality advice on a broad range of operational and business issues, including M&A, corporate governance, labor & employment, data privacy, contracts, real estate, and other areas.   
  • Build contracts organization and processes to enable effective and efficient drafting, reviewing, and negotiating of agreements.
  • Work with Director, Legal Operations to build and improve key Legal processes, including but not limited to budget management, law firm management, contracts management, and talent development.
  • Create and strengthen processes and workflows between the Legal department and other departments
  • Lead M&A activity for Grace in coordination with Standard Industries legal team
  • Engage and supervise outside counsel
  • Supervise in-house counsel
  • Act as backup for the General Counsel

Required Qualifications

  • J.D. with strong academic record and active member in good standing of a State Bar
  • Minimum of 15 years of experience, with at least 5 years in-house and with significant experience in a large and sophisticated corporate environment
  • Experience managing a broad range of Legal areas
  • Experience leading and developing teams
  • Experience building and improving processes
  • Demonstrated ability to lead and develop teams
  • Demonstrated ability to build and improve processes
  • Extensive M&A and contracts experience
  • Demonstrated ability to influence key stakeholders
  • Excellent legal acumen and judgment
  • Excellent written and oral communication skills
  • Dedicated to fostering a diverse and inclusive team and environment
