Job Description

Grace is seeking a Counsel, Procurement, Supply Chain and Corporate Affairs to join our legal team as we grow and develop our organization to build a scalable platform for rapid organic and inorganic growth. This position reports to our Vice President, Deputy General Counsel and is located in Columbia, Maryland.

The Counsel, Procurement, Supply Chain and Corporate Affairs serves as primary counsel supporting Grace’s procurement and supply chain activities, and will help support corporate, real estate, finance and strategy activities in conjunction with other legal colleagues. Among other things, they will identify and analyze legal issues, negotiate and draft contracts, assist with corporate matters, and ensure compliance with applicable laws and regulations. 

Responsibilities

  • Partner with and counsel the Procurement and Supply Chain organizations related to all types of contracts: IT, consulting, HR, Communications, materials purchasing, logistics, etc.
  • Review, negotiate and draft all types of contracts including: supply agreements, manufacturing agreements, real estate, and service agreements.
  • Assist in reviewing and providing counsel regarding internal and external communications.
  • Assist in managing corporate secretary responsibilities, including entity management and corporate formalities.
  • Provide support and assistance for communications, strategy, entity management and other general corporate issues.
  • Coordinate with other legal experts in specialized areas such as intellectual property, labor & employment, entity management, litigation and tax.
  • Provide additional legal support on other matters and assume other responsibilities, as assigned.

Required Qualifications

  • J.D. with a strong academic record and active member in good standing of a State Bar
  • At least five (5) years of experience with drafting and negotiating complex contracts and providing support on general corporate matters
  • Strong contract drafting and negotiating skills.
  • Excellent communication and analytical skills, and ability to think strategically and tactically.
  • Detail-oriented, organized, efficient, and resourceful with strong follow-through skills.
  • Proven self-starter, results-oriented, high-energy team player with demonstrated leadership skills.
  • Superior communication skills, both verbal and written.  In particular, must be able to effectively frame and explain issues to non-lawyers to drive strategic-thinking and execution.
  • Ability to think critically, learn new substantive areas quickly, analyze problems and data, and develop creative and practical solutions.

  • Global or multi-regional experience
  • Experience supporting global corporations on contract and corporate structure matters.
