Job Description

Grace is seeking a high-energy, in-house attorney to manage litigation and provide commercial advice to its business segments.  This individual will play a vital role in developing and executing strategies to reduce exposure in litigation/arbitration and to support business segments in achieving significant growth objectives.  This position holds excellent career development opportunities.

As a Grace in-house counsel, this individual will be responsible for managing global litigation, arbitration and investigation matters and providing legal support to the worldwide business operations of its business segments.  Commercial contract experience is also helpful.  This position will be based at Grace’s global headquarters in Columbia, Maryland.  It will functionally report to Grace's Vice President and Associate General Counsel and will operationally report to other senior counsel.

Major Responsibilities:

  1. Manage claims, mediation, arbitration and litigation, including budget preparation/monitoring, strategy development, preparation/review of filings, witness preparation and settlement negotiations, manage outside counsel in connection with such matters, and provide senior management with legal advice, risk assessments and cost estimates.  
  2. Manage discovery process, including eDiscovery, subpoena/discovery responses, legal holds and the preservation, collection and production of documents.
  3. Advise business segment management on a wide range of legal issues relating to business operations, drafting and negotiating a wide variety of commercial contracts, including raw material purchase, procurement, product supply (customer), tolling, construction, confidentiality, distribution, and agency agreements.
  4. Conduct internal investigations and work with business partners and specialist attorneys on preventative law matters to mitigate risks.
  5. Leverage business knowledge and relationships to assist in formulating dispute resolution strategy and tactics.
  6. Provide advice and training to Grace managers and employees in connection with litigation/arbitration, competition, anticorruption, import/export and other U.S. laws having extraterritorial effect.  
  7. Assist, and consult with, other in-house attorneys in various matters.
  8. Perform special projects and tasks, as required, relating to commercial and regulatory items and other matters.

Required Experience

  1. Must be a graduate of a leading U.S. law school, be licensed to practice in at least one U.S. jurisdiction.
  2. Should have between 5 to 8 years of civil litigation practice, including experience in state and federal appellate and trial courts, domestic and international commercial arbitration and investigations, preferably for international industrial clients.  Major law firm experience is preferred.
  3. Should have substantial experience with eDiscovery.
  4. Experience in drafting and negotiating commercial contracts, strategic counseling, and managing and resolving commercial disputes is preferred.
  5. Should be comfortable in a true business partnering role, including participating as member of the business team, and giving risk-based advice, taking into account the business goals, the economics of a transaction, and the legal considerations.

Preferred Qualifications

Must be a graduate of a leading U.S. law school, be licensed to practice in at least one U.S. jurisdiction.
