Job Description

Grace is seeking an Associate General Counsel, Litigation and Compliance to join our Legal Leadership team as we grow and develop our organization to build a scalable platform for rapid organic and inorganic growth. This role reports to our Senior Vice President, General Counsel & Secretary and is located in Columbia, MD.

The Associate General Counsel, Litigation and Compliance is responsible for managing all litigation and for ensuring a strong and effective compliance program and culture.  The position is responsible for effective and efficient litigation management, enhancing Grace’s compliance program and culture, and developing team members, infrastructure and processes. 

Responsibilities

  • Litigation/Claims Management:
    • Responsible for assessment of matters, development of strategy, and case management.
    • Counsels business stakeholders on litigation initiation and dispute resolution.
    • Selects and manages outside counsel.
    • Develop and manage litigation processes, such as legal hold management, document/information system management and e-discovery.
    • Identifies and develops litigation learnings.
    • Manages litigation budgets and associated reporting requirements.
  • Compliance:
    • Provides overall vision, direction, and collaborative leadership to enhance the Company’s compliance program and culture.
    • Oversees continued development, implementation and monitoring of policies and procedures to ensure compliance with laws/regulations.
    • Oversees receipt, investigation and resolution of alleged violations of the Code of Conduct, company policies or other compliance requirements.
    • Assures smooth operation of effective and efficient compliance training program.
  • Advises management and the Executive Leadership Team regarding litigation and compliance matters

Required Qualifications

  • J.D. with strong academic record and active member in good standing of a State Bar.
  • Minimum of 10 years of experience in litigation and compliance, with at least 4 years in-house and with significant experience in a large and sophisticated corporate environment.
  • Experience managing broad and complex litigation portfolios.
  • Experience building and developing effective compliance programs and cultures.
  • The highest level of judgment, discretion, and integrity.
  • Demonstrated ability to manage complex litigation matters and portfolio.
  • Experience building and developing compliance programs and managing internal investigations.
  • Demonstrated ability to influence key stakeholders.
  • Excellent written and oral communication skills.
  • Dedicated to fostering a diverse and inclusive team and environment.
